General terms and conditions of business

ES Systems Engineering

 

Scope
These General Terms and Conditions (GTC) apply to all services provided by ES Systems Engineering, owner Schweizer, including service, maintenance, calibration, consulting and other technical support in the field of measuring instruments, micro-CT systems and X-ray measuring devices.

 

1. Conclusion of contract
1.1 Offers from ES Systems Engineering are non-binding.
1.2 A contract only comes into effect through written confirmation or the execution of the agreed service.

 

2. Services
2.1 ES Systems Engineering provides services to the best of its knowledge and with technical diligence.
2.2 The exact services are described in the respective order or offer.
2.3 Changes or additional services must be agreed upon separately.

 

3. Customer's obligations
3.1 The customer shall ensure that all devices and measuring systems are accessible and operational.
3.2 Safety regulations, in particular radiation protection regulations (e.g. SUVA), must be observed.
3.3 The customer shall inform the customer of any known defects or special features of the equipment.

 

4. Prices & Payment
4.1 Prices are based on the offer or order confirmation.
4.2 Invoices are payable within 14 days of the invoice date without deduction, unless otherwise agreed.
4.3 In case of late payment, the statutory default interest rates apply.

 

5. Liability
5.1 ES Systems Engineering is liable for damages only in cases of intent or gross negligence.
5.2 No liability is accepted for consequential damages or lost profits.
5.3 ES Systems Engineering assumes no responsibility for equipment operated outside the agreed safety standards.

 

6. Dates & Deadlines
6.1 Deadlines will be met to the best of our ability; binding deadlines must be agreed upon in writing.
6.2 Delays caused by force majeure or circumstances caused by the customer shall extend the deadlines appropriately.

 

7. Warranty
7.1 ES Systems Engineering guarantees the agreed performance in accordance with the technical specifications.
7.2 Complaints must be submitted in writing within 7 days of the service being provided.

 

8. Data protection
Personal data will only be used for the purpose of order processing and will not be passed on to third parties unless required by law.

 

9. Final Provisions
9.1 Swiss law applies.
9.2 The place of jurisdiction is the registered office of ES Systems Engineering in Ebmatingen.
9.3 Should individual provisions of these Terms and Conditions be invalid, the validity of the remaining provisions shall remain unaffected.
